1. Introduction

These Terms of Service ("Terms") govern your use of MagicBill, an AI-powered invoice analysis and processing service ("Service") operated by KOPINFO Információtechnológiai Korlátolt Felelősségű Társaság (KOPINFO Kft.) ("we," "us," or "our").

MagicBill is an invoice and receipt processing platform that provides:

• Automated invoice data extraction using AI and OCR technology
• Smart categorization and analysis of financial documents
• Google OAuth authentication and integration
• Token-based billing with Stripe payment processing
• Email integration for automated invoice processing
• Cloud storage and data analytics

The Service may not be available in all countries, and features may vary by region. We may restrict or refuse access to the Service in certain jurisdictions (for example, to comply with law, export controls/sanctions, or third-party provider limitations).

You are responsible for ensuring that your use of the Service (including uploading documents and processing personal data) complies with applicable laws in your jurisdiction.

4. Eligibility and Registration

4.1 Age Requirements

You must be at least 18 years old to create an account and use the Service.

4.2 Registration

To access certain features, you must register for an account using Google OAuth. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4.3 Business Use

If you use the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

5. Token System, Billing, and Taxes

The Service may use a token system. Token prices and consumption rates are displayed in the Service and may change over time.

Tokens have no monetary value, are non-refundable, and may not be exchanged for cash, except where required by applicable law.

5.1 Payment Processing

• Payments are processed securely through Stripe
• All major credit cards and payment methods are accepted
• Prices are displayed in EUR
• Taxes (including VAT) may apply depending on your location and customer type

6. Consumer Information (EEA/UK)

If you are a consumer located in the EEA or the UK, you may have mandatory rights that cannot be excluded. Where a right of withdrawal applies, you may have a 14-day withdrawal period. If you request immediate performance of the Service and the Service is fully performed, you may lose the right of withdrawal to the extent permitted by applicable law.

7. Acceptable Use

7.1 Permitted Use

You may use the Service for legitimate business and personal invoice processing purposes, including:

• Processing invoices, receipts, and financial documents
• Extracting and analyzing financial data
• Organizing and categorizing expenses
• Generating reports and analytics

7.2 Prohibited Activities

You may not use the Service to:

• Process illegal, fraudulent, or counterfeit documents
• Violate any applicable laws or regulations
• Use the Service in a manner that violates applicable export controls or sanctions (including restrictions related to AI or data processing technologies)
• Infringe on intellectual property rights
• Upload malicious software or harmful content
• Attempt to reverse engineer or hack the Service
• Share your account credentials with unauthorized parties
• Process personal data of third parties without having a lawful basis to do so

8. Customer Content

You retain ownership of documents you upload. You grant us a limited license to host and process Customer Content only to provide the Service, support you, comply with law, and prevent abuse.

• Encryption of data in transit and at rest
• Regular security assessments and updates
• Access controls and authentication
• Monitoring and incident response procedures

11. AI Processing and Limitations

We do not guarantee the accuracy, completeness, or timeliness of extracted, categorized, or analyzed data.

We do not use your uploaded documents or extracted data to train or fine-tune general-purpose AI models.

AI processing is performed solely for the purpose of providing the Service to you.

12. Service Availability

We strive to maintain 99.5% uptime but do not guarantee uninterrupted service. This is a target, not a guarantee, and does not constitute a service level agreement (SLA). We may perform scheduled maintenance with advance notice when possible.

No professional advice. MagicBill does not provide financial, accounting, tax, or legal advice. All outputs are provided for informational purposes only.

No fiduciary relationship. Use of the Service does not create a fiduciary, advisory, or professional relationship between you and KOPINFO.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Consumer carve-out: Nothing in these Terms limits or excludes liability where such limitation is not permitted by law (including liability for death or personal injury caused by negligence, fraud, or willful misconduct).

15. Termination

You may terminate your account at any time. We may terminate your account for violation of these Terms, illegal activities, non-payment of fees, or prolonged inactivity.

Upon termination, data handling (including deletion/retention) will be governed by our Privacy Policy and applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws of Hungary. If you are a consumer, mandatory consumer protection laws in your country of residence may also apply, and you may have the right to bring claims in your local courts.

17. Export Controls and Sanctions

You may not use the Service if you are subject to applicable sanctions or if your use would violate export control laws, including restrictions related to AI or data processing technologies.

18. Changes to the Service or Terms

We may change the Service, prices, and these Terms from time to time. If changes materially affect your rights or obligations, we will provide reasonable notice and indicate the effective date. Your continued use of the Service after the effective date constitutes acceptance to the extent permitted by law.

19. Indemnification (Business Customers)

If you are a business customer, you agree to indemnify and hold harmless KOPINFO from third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Content, your violation of these Terms, your violation of law, or your infringement of third-party rights.
